Acceptance of Terms

Welcome to Public Outreach Group (“Public Outreach,” “we,” “us,” or “our”). By accessing or using our website (the “Site”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Site.

These Terms constitute a legally binding agreement between you and Public Outreach Group. Please read them carefully.

We reserve the right to modify these Terms at any time. When we make material changes, we will:

  • Provide notice through the Site or via email where appropriate
  • Obtain your consent where required by law

Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

Use of the Site

Permitted Use

You may access and use the Site for lawful purposes consistent with these Terms. This includes:

  • Making charitable donations through our platforms (subject to additional terms)

Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Access and use the Site for personal or internal business purposes
  • View and download one copy of materials from the Site for non-commercial use only

This license does not permit you to:

  • Modify, copy, distribute, transmit, display, reproduce, publish, license, create derivative works from, or sell any Content
  • Use any Content for commercial purposes without our prior written consent
  • Remove or alter any copyright, trademark, or other proprietary notices
  • Transfer the Content to another person or “mirror” the Content on any other server

Termination of License

This license automatically terminates if you violate these Terms. Upon termination, you must immediately destroy all downloaded or printed materials.

If you submit content to the Site (such as through contact forms or testimonials), you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display that content for business purposes. You represent that you have all necessary rights to grant this license.

Charitable Donations

If you make a charitable donation through our PO Donate platform or other donation services:

  • You agree to our Privacy Policy regarding the collection and use of your information
  • You consent to us sharing your information with the designated charitable organization
  • You acknowledge that donations are processed on behalf of the charitable partner
  • Separate terms may apply to specific donation campaigns or charitable partnerships
  • Tax receipts will be issued by the charitable organization, not by Public Outreach

Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by law, Public Outreach disclaims all warranties, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties regarding the accuracy, reliability, or completeness of Content
  • Warranties that the Site will be uninterrupted, secure, or error-free
  • Warranties that defects will be corrected

We do not warrant that:

  • Business interruption or loss of goodwill
  • Any damages arising from your use of or inability to use the Site
  • Any damages arising from unauthorized access to or alteration of your transmissions or data
  • Any damages arising from third-party conduct or content on the Site

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY (contract, tort, negligence, strict liability, or otherwise) and EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total aggregate liability to you for all claims arising from or related to the Site shall not exceed $100 CAD.

Some jurisdictions do not allow limitations on liability for incidental or consequential damages, so some of the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Public Outreach and its officers, directors, employees, agents, affiliates, and partners from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising from:

  • Your use of the Site
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your violation of any applicable laws or regulations

We reserve the right to assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense of such claims.

Privacy and Data Protection

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your personal information.

Accuracy of Information

While we strive to ensure that information on the Site is accurate and current, we make no representations or warranties regarding:

  • You must discontinue all use of the Site
  • Provisions that by their nature should survive termination will remain in effect

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada, and you consent to personal jurisdiction in such courts.

Dispute Resolution

Informal Resolution: Before initiating any formal proceedings, you agree to first contact us at legal@publicoutreachgroup.com to attempt to resolve any disputes informally.

Arbitration: If informal resolution is unsuccessful, disputes may be resolved through binding arbitration in accordance with the rules of the ADR Institute of Canada, conducted in English in Toronto, Canada.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Exceptions: Either party may seek injunctive or equitable relief in court for matters involving intellectual property rights or unauthorized access to the Site.

Electronic Communications

By using the Site, you consent to receive electronic communications from us, including emails and notices posted on the Site. You agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.

Accessibility

Severability

Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published on the Site, constitute the entire agreement between you and Public Outreach regarding the use of the Site and supersede all prior agreements and understandings.

Assignment

You may not assign or transfer these Terms or any rights granted hereunder without our prior written consent. We may assign these Terms at any time without notice or consent.

Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, natural disasters, pandemics, or failure of telecommunications or internet services.
